Website Terms of Use

Important: This document is an operational contract draft. Participation may also require an executed insertion order, campaign schedule or partner agreement.

1. Acceptance

These Terms govern access to SkyLocal websites, applications and related services. By accessing the services, submitting an application or creating an account, you agree to these Terms and any policies incorporated by reference. If you act for a company, you represent that you can bind it.

2. The service

SkyLocal operates technology and managed services that may connect publishers, marketers, buyers and service providers. SkyLocal does not guarantee admission, traffic volume, buyer demand, pricing, conversion, revenue or uninterrupted availability. Campaign-specific obligations are controlled by the applicable written agreement and insertion order.

3. Eligibility and accounts

You must provide complete, accurate information; keep credentials secure; promptly update material changes; and cooperate with verification. We may approve, reject, restrict or suspend access based on compliance, quality, fraud, credit, capacity, reputational or operational risk.

4. Permitted use

You may use the services only for lawful business purposes and in accordance with our Acceptable Use Policy, campaign rules, privacy requirements and applicable law. You may not reverse engineer, scrape, interfere with, misrepresent, resell without authorization, or use the services to facilitate deceptive or unlawful conduct.

5. Data and communications

You represent that you have all rights, notices and consents required to provide data to SkyLocal and permit its processing, routing, measurement and disclosure to authorized participants. You consent to business communications concerning your application or account. Marketing communications may be withdrawn as provided in the message.

6. Intellectual property

SkyLocal and its licensors retain all rights in the services, software, designs, marks and aggregated or de-identified analytics. You retain rights in your submitted materials and grant SkyLocal a limited license to host, process, review and use them to provide, secure and improve the services.

7. Confidentiality

Nonpublic pricing, campaign criteria, buyer and publisher identities, performance data, security information and product materials are confidential. Recipients must protect them using reasonable care and use them only for the permitted relationship.

8. Disclaimers and liability

To the maximum extent permitted by law, services are provided “as is” and “as available.” SkyLocal disclaims implied warranties and will not be liable for indirect, special, consequential, exemplary or lost-profit damages. Aggregate liability arising from website use will not exceed $100; signed commercial agreements may establish a different limit.

9. Indemnity

You will defend and indemnify SkyLocal and its affiliates from third-party claims arising from your content, traffic, data, legal violations, breach of these Terms or misuse of the services.

10. Suspension; changes; governing terms

We may suspend access to protect participants, consumers or systems. We may update these Terms prospectively by posting a revised effective date. The executed commercial agreement controls over conflicting website terms. Questions: hello@skylocal.com.
